Terms of Service

1. Acceptance of Terms

By accessing, registering for, or using the LightSkye Leads platform ("Platform"), operated by LightSkye LLC ("LightSkye," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.

These Terms constitute a legally binding agreement between you and LightSkye. By creating an account or completing any transaction on the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Refund Policy, all of which are incorporated herein by reference.

2. Platform Description

LightSkye Leads is a digital marketplace that connects solar contractors and installers ("Buyers") with homeowner leads ("Leads") for solar panel installation, battery replacement, and related services. The Platform operates on a credit-based system where Buyers purchase credits using real currency and then use those credits to acquire Leads.

3. Account Registration and Eligibility

To use the Platform, you must register for an account and provide accurate, complete, and current information. You must be at least 18 years of age and have the legal authority to enter into these Terms. If you are registering on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.

You are responsible for maintaining the confidentiality of your account credentials. You agree to immediately notify LightSkye of any unauthorized use of your account. LightSkye is not liable for any loss arising from unauthorized access to your account.

4. Credit System and Purchases

The Platform uses a proprietary credit system. Credits are purchased using real currency via Stripe, our third-party payment processor. By purchasing credits, you acknowledge and agree to the following:

  • Credits are a digital entitlement to acquire Leads on the Platform. Credits have no cash value outside of the Platform and cannot be transferred, sold, or exchanged for cash.
  • All credit purchases are final and non-refundable. Once credits are added to your account, they cannot be converted back to cash or refunded to your payment method under any circumstances.
  • Credits do not expire as long as your account remains active and in good standing.
  • Lead purchases using credits are final. Once you use credits to purchase a Lead, the transaction is complete. Credits spent on Leads cannot be reversed except through the Lead Return process described in our Refund Policy.

5. Lead Information and Accuracy

LightSkye sources Leads from various channels including call centers, CRM systems, and manual entry by internal staff. While we make reasonable efforts to ensure Lead accuracy, we do not guarantee:

  • That the homeowner will respond to your outreach or be available for an appointment.
  • That the contact information provided is current or accurate at the time of purchase.
  • That the homeowner will ultimately proceed with a solar installation or related service.
  • Any specific conversion rate, return on investment, or business outcome from purchased Leads.

Leads are sold "as-is." LightSkye is not responsible for the outcome of any communication or business dealings between you and the homeowner associated with a Lead.

6. Lead Return Policy

Certain Leads may be eligible for return under the conditions described in our Refund Policy. Lead returns are subject to the following:

  • All return requests must be submitted through the Platform and are subject to internal review and approval by LightSkye staff.
  • Approved returns result in credit restoration to your Platform account only. Under no circumstances will monetary refunds be issued for returned Leads.
  • LightSkye reserves sole discretion to approve or deny any return request.
  • Abuse of the return process may result in account suspension or termination.

7. Payment Processing and Chargebacks

All payments are processed through Stripe. By making a purchase on the Platform, you agree to the following:

  • No Chargebacks. You agree not to initiate any chargeback, dispute, or payment reversal with your bank, credit card company, or payment provider for any transaction made on the Platform. If you have an issue with a purchase, you must resolve it directly with LightSkye through our support channels or the Lead Return process.
  • Chargeback Consequences. If you initiate a chargeback or payment dispute, LightSkye reserves the right to: (a) immediately suspend or terminate your account; (b) deduct the disputed amount plus any chargeback fees from your credit balance; (c) pursue collection of any outstanding amounts through appropriate legal channels; and (d) report the activity to fraud prevention services.
  • Chargeback Fees. You agree to pay all costs, expenses, and fees (including reasonable attorney fees) incurred by LightSkye as a result of any chargeback or payment dispute initiated by you.
  • Dispute Resolution Obligation. You acknowledge that the proper method for resolving payment disputes is through direct communication with LightSkye, not through your bank or payment provider. Filing a chargeback without first attempting to resolve the issue with LightSkye constitutes a breach of these Terms.

8. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations.
  • Share, resell, or distribute Lead information obtained through the Platform with third parties.
  • Attempt to circumvent, disable, or interfere with the security features of the Platform.
  • Use automated scripts, bots, or other tools to access or scrape the Platform.
  • Create multiple accounts to circumvent account restrictions or abuse promotional offers.
  • Engage in any form of harassment, abuse, or unsolicited communications to homeowners beyond legitimate business outreach.
  • Abuse the Lead Return process by submitting fraudulent or misleading return requests.
  • Initiate chargebacks, payment disputes, or payment reversals with your bank or payment provider instead of using LightSkye's internal dispute resolution process.

9. Account Suspension and Termination

LightSkye reserves the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms or any applicable policy.
  • Initiating chargebacks or payment disputes without first contacting LightSkye.
  • Suspected fraudulent activity or misuse of the Platform.
  • Abuse of the Lead Return process.
  • Non-payment of any amounts owed to LightSkye.

Upon account termination for cause, any remaining credits in your account are forfeited and non-refundable.

10. Intellectual Property

All content, features, functionality, software, and design elements of the Platform are owned by LightSkye and are protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Platform without prior written consent from LightSkye.

11. Limitation of Liability

To the maximum extent permitted by applicable law, LightSkye shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Platform.

LightSkye's total aggregate liability for any claims arising out of or related to these Terms or the Platform shall not exceed the total amount of credits purchased by you in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless LightSkye, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any chargeback or payment dispute initiated by you.

13. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. LightSkye does not warrant that the Platform will be uninterrupted, error-free, or secure.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

You waive any right to participate in a class action lawsuit or class-wide arbitration against LightSkye.

15. Modifications to Terms

LightSkye reserves the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after the posting of revised Terms constitutes your acceptance of the changes.
